The Light Collective: Member Portal Terms of Use

The Light Collective is a nonprofit organization on a mission to advance the rights, interests, and voices of patient communities in health technology.   

This Member Portal Terms of Use Agreement (“Agreement” or “Terms”) applies to all users (referred to as “User”, “You”, or “Trial Member”) of The Light Collective (“TLC” or “Organization”) member portal. These terms of use are effective as of 12/01/2023.

By accessing and using the TLC member portal, Trial Members acknowledge their understanding of these terms and agree to be bound by them.

1. Definitions:

a. Member Portal (or “Service”): TLC’s visual communication platform for members to access training content, privacy tools, and resources for Trial Members and Members.

b. Trial Member: An individual or organization using the TLC member portal on a temporary or trial basis, without the requirement of paying membership fees or dues.

c. Member:  An individual or organization using the TLC member portal as a result of entering a separate Member Agreement, after paying membership fees. 

2.  Overview

The Light Collective has developed a Member Portal to offer training, tools, and resources to Members and Trial Members.  The Service is made available on Lightcollective.org and in other forms provided or made available by TLC to individuals and organizations who are considered Trial Members or Members.  

3.  Trial Membership Fees and Dues:

a. Trial Members are not required to pay any fees or membership dues for using the TLC member portal.

b.  Should a Trial Member’s organization choose to enter into a partnership agreement with TLC beyond the trial period, becoming a Member, your organization will receive a separate Membership Agreement where other terms and conditions may apply.

4.  Trial Membership Benefits and Privileges:

a.  Trial Members will be provided with training as part of their onboarding process to the member portal. This training material is proprietary to TLC and is not to be distributed, replicated, or shared without express written permission from TLC.

5.  Adherence to Rules and Policies:

a. Trial Members agree to abide by all rules, policies, and regulations established by TLC, including ethical guidelines and operational procedures when using the service.

b.  Failure to comply with these rules may result in termination of portal access.

6.  Using The Service:

a.  Obligations. You shall not yourself or through any third party (i) rent, lease, sell, distribute, offer in a service bureau, sublicense, or otherwise make available the Service or the Licensed Content to any third party (except as permitted under these Terms); (ii) copy, replicate, decompile, reverse-engineer, attempt to derive the source code of, modify, or create derivative works of the Service, or any part thereof;  (iii) access the Service for purposes of building or marketing a competitive product; (iv) use the Service to store or transmit a virus or malicious code;  (v) use the Service to transmit unsolicited emails or engage in spamming; (vi) use any form of data mining, extraction, or scraping on the Service and/or the contents available therein for machine learning or other purposes; or (vii) bypass the measures we may use to prevent or restrict access to the Service, including without limitation features that prevent or restrict use or copying of any content or enforce limitations on use of the Service or the Licensed Content.  These obligations persist beyond the termination of access to the Service.

b.  Access to the Service. Subject to your compliance with these Terms, you are granted a non-exclusive, limited, non-transferable, freely revocable license to access and use the Service for business or personal use. TLC reserves all rights not expressly granted under these Terms. 

c.  Each user must have a unique account and you are responsible for any activity conducted on your account. You may not allow any other party to access or use the Service with your unique username, password, or other security code.

7.  Use Of Your Information:

a.  TLC uses personal information provided by Trial Members to communicate directly with them, share content, and inform them of new tools, resources, or developments contributed by members.

b.  TLC commits to using this information responsibly and in accordance with the Organization’s privacy policy.

c.  The TLC Member Portal includes of the following services:

8.  Term & Termination:

a. The term of this agreement is ongoing, commencing upon the Trial Member’s access of the member portal and continuing until terminated by either party.

b. Either TLC or the Trial Member may terminate this agreement at any time with written notice to the other party.

c. All required notices to you will be sent to the email address associated with your account or through other legally permissible means. 

9. Dispute Resolution:

a. In the event of a dispute arising from this agreement, the parties agree to seek resolution through mediation prior to pursuing legal action.

10.  Amendment of Agreement:

 a.  TLC reserves the right to amend this agreement at any time. All amendments will be effective immediately upon posting to the member portal or notification to the Trial Members.

11.  Liability & Indemnification:

a. Trial Members agree to indemnify and hold harmless TLC from any claims, damages, or expenses arising from their breach of this agreement or their conduct related to TLC.

b. Trail members agree that TLC will not be liable for any indirect, incidental, or consequential damages arising out of this Agreement.

12.  Governing Law:

a.  These Terms will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions. 

b.  You agree to abide by all applicable local, state, national and foreign laws, treaties and regulations, in connection with your use of the Service. TLC agrees to abide by all applicable local, state, national and foreign laws, treaties and regulations, in connection with its provision of the Service.
